Abstract

Penelitian ini bertujuan untuk menganalisis pengaruh corporate governance terhadap capital structure. Perusahaan perlu menetapkan kombinasi yang tepat antara utang dan ekuitas untuk menciptakan struktur modal yang optimal. Dalam proses pemenuhan kebutuhan akan modal, perusahaan membutuhkan good corporate governance. Penelitian ini menggunakan ukuran dewan direksi, komisaris independen, komite audit, dan rapat direksi dalam mengukur good corporate governance. Populasi pada penelitian ini adalah perusahaan manufaktur sektor industry barang konsumsi yang terdaftar di Bursa Efek Indonesia (BEI) periode 2012-2015. Pengambilan sampel dilakukan dengan purposive sampling. Pada penelitian ini sampel yang digunakan adalah 25 perusahaan. Pengujian hipotesis dilakukan dengan menggunakan analisis regresi berganda. Hasil penelitian ini menunjukkan bahwa ukuran dewan direksi dan komisaris independen berpengaruh terhadap struktur modal. Sedangkan variabel lain yaitu komite audit dan rapat direksi tidak berpengaruh.The aim of this research is to analyze the effect of corporate governance on capital structure. Companies need to establish the right combination of debt and equity to create the optimal capital structure. In the process of fulfilling the need for capital, companies need good corporate governance. This research uses the size of the board size, independent directors, audit committee, and meetings of directors in the measure of good corporate governance. The population in this study are all manufacture company consumer goods industry sector listed on the Indonesia Stock Exchange (BEI) in the period 2012-2015. The sampling method in this research is purposive sampling. In this study the sample used are 25 companies. Hypothesis testing is done by using multiple regression analysis. The results of this research indicate that board size and independent directors are related to capital structure. While the other variable such as audit committee and meetings directors are not affected to capital structure.
