Abstract
This study aims to examine and assess the effect of corporate governance and ownership structure on corporate performance. Corporate governance variable is proxied by the size of the board of directors and the proportion of independent board. The ownership structure is proxied by institutional ownership. And the company's performance variable is proxied by Return on Equity (ROE). The object of this research is manufacturing companies listed in Indonesia Stock Exchange during the years 2013-2016. Based on purposive sampling method, acquired 41 companies in the sample, so that during the four years of observation there were 164 annual reports were analyzed. Data analysis technique used is the technique of linear regression analysis. These results indicate that the size of the board of directors and institutional ownership has a significant influence on the performance of the company, while the proportion of independent board did not have a significant influence on the company's performance. Penelitian ini bertujuan untuk menguji dan mengkaji pengaruh corporate governance dan struktur kepemilikan terhadap kinerja perusahaan. Variabel Corporate governance ini diproksikan dengan ukuran dewan direksi dan proporsi dewan komisaris independen. Variabel struktur kepemilikan diproksikan dengan kepemilikan institusional. Dan variabel kinerja perusahaan diproksikan dengan Return on Equity (ROE). Objek dalam penelitian ini adalah perusahaan manufaktur yang terdaftar di bursa efek Indonesia selama tahun 2013-2016. Berdasarkan metode purposive sampling, diperoleh 41 perusahaan sebagai sampel, sehingga selama 4 tahun pengamatan terdapat 164 laporan tahunan dianalisis. Teknik analisis data yang digunakan adalah teknik analisis regresi linier berganda. Hasil penelitian ini menunjukkan bahwa ukuran dewan direksi dan kepemilikan institusional memiliki pengaruh secara signifikan terhadap kinerja perusahaan, sedangkan proporsi dewan komisaris independen tidak memiliki pengaruh secara signifikan terhadap kinerja perusahaan.
